1. Acceptance of Terms
By accessing or using the Ever-Shield website (termite-shield.com), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you are prohibited from using this website and must discontinue use immediately.
2. Description of Service
Ever-Shield operates solely as a marketing and enrollment platform that allows Property Managers to offer termite protection plans to their clients. Ever-Shield does not perform any termite inspections, treatments, or warranty services.
All professional services — including termite inspections, chemical treatments, Sentricon® system installations, annual maintenance, and the fulfillment of any structural repair warranties — are performed exclusively by HonorGuard Pest Management, a licensed Structural Pest Control company in the State of Georgia.
Any service agreement, warranty, or repair obligation is solely between HonorGuard Pest Management and the property owner (or their authorized representative). Ever-Shield is not a party to those service agreements.
3. Eligibility and Authorized Use
The Ever-Shield program is designed specifically for licensed Property Management companies and their authorized agents. By creating an account or enrolling properties, you represent and warrant that you possess the legal authority to enter into these terms on behalf of your company and that you are authorized to make service decisions for the properties you enroll.
4. User Responsibilities and Account Security
You agree to:
- Provide accurate, current, and complete information during your onboarding and property enrollment processes.
- Maintain the confidentiality of your account credentials and restrict access to your Property Manager portal.
- Promptly update your portfolio information, including changes to property ownership or management status.
- Ensure that all marketing materials provided to you are used solely in connection with the authorized promotion of the Ever-Shield program.
5. Marketing Materials and Branding
We provide customized marketing tools to help you differentiate your services. These assets are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use these materials solely for the purpose of offering the Ever-Shield program to your clients. You may not modify, resell, or redistribute these assets for any other purpose without prior written consent.
6. Disclaimer of Warranties
The Ever-Shield website and platform are provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the website’s operation or the information contained therein.
All termite inspections, treatments, Sentricon® installations, and structural repair warranties are provided solely by HonorGuard Pest Management under their own service agreements and warranties. Ever-Shield makes no warranties regarding the performance, results, or obligations of those services.
7. Limitation of Liability
To the fullest extent permitted by law, Ever-Shield, its affiliates, and its partners shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits or data, arising from your use of this platform.
Ever-Shield shall have no liability for the performance or non-performance of any termite-related services, inspections, treatments, or warranty obligations, all of which are the sole responsibility of HonorGuard Pest Management.
8. Intellectual Property Rights
All content, branding, logos, software, and marketing templates available on this website are the exclusive property of Ever-Shield or its licensors. Unauthorized use, reproduction, or distribution of this intellectual property is strictly prohibited.
9. Termination of Access
We reserve the right to suspend or terminate your account and access to the Ever-Shield portal at our sole discretion, without prior notice, if we believe you have breached these Terms and Conditions or engaged in unauthorized activity.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Georgia.
11. Modifications to Terms
We reserve the right to modify or replace these Terms and Conditions at any time. We will indicate the “Last updated” date at the top of this document. Your continued use of the website following any changes constitutes your acceptance of the new terms.
